End User License Agreement / Internal Use Terms

Effective Date: June 30, 2026

This End User License Agreement and Internal Use Terms (“Agreement”) governs use of the QuickBooks Online Internal Sync Tool (“Tool”). The Tool is operated by California Arborists LLC, DBA California Ecology Arborists (“Company,” “we,” “us,” or “our”) for internal Company business purposes.

The Tool is not a public application, commercial software service, or product offered to third-party users. It is used only for Company’s internal synchronization, reporting, reconciliation, migration, billing support, accounting support, and operational administration.

  1. Authorized Use

The Tool may be used only by authorized Company personnel, contractors, administrators, and service providers who have been approved by Company to support accounting, IT, billing, reporting, synchronization, migration, or business operations.

Users may access and use the Tool only as necessary to perform authorized Company work.

  1. Purpose

The Tool is used for internal Company purposes, including:

Synchronizing data between QuickBooks Online and Company-approved systems.

Maintaining operational records, client records, billing records, service records, and related internal workflows.

Creating lookup tables and references for customers, invoices, items, services, payments, and transactions.

Improving data accuracy and consistency across Company systems.

Supporting accounting, billing, reporting, reconciliation, migration, and business administration.

Troubleshooting, validating, and maintaining internal sync processes.

  1. QuickBooks Online Access

The Tool may connect to Company’s QuickBooks Online account using Intuit’s developer platform, OAuth authorization, and related API services.

The Tool may access Company QuickBooks Online data, including customer records, contact information, invoices, payments, products, services, transaction details, balances, accounting references, and QuickBooks Online internal identifiers.

Company controls authorization to its QuickBooks Online account and may revoke the Tool’s access at any time through QuickBooks Online, Intuit account controls, or related administrative settings.

  1. Data Ownership

Company retains ownership and control of its QuickBooks Online data and any Company data processed, exported, synchronized, stored, or referenced through the Tool.

No ownership rights in Company data are transferred by use of the Tool.

  1. Restrictions

Users may not:

Use the Tool for any non-Company purpose.

Use the Tool to access, process, export, or synchronize data belonging to any entity other than Company unless expressly authorized by Company.

Share credentials, OAuth tokens, API keys, exported data, sync files, logs, or configuration secrets with unauthorized persons.

Store credentials, OAuth tokens, API keys, exported data, sync files, logs, or migration files in unauthorized personal accounts or unmanaged locations.

Modify, copy, distribute, resell, sublicense, or reuse the Tool for unrelated third-party commercial use without Company approval.

Bypass security controls, access controls, authorization controls, or logging controls.

Use the Tool in a manner that violates applicable law, Intuit terms, QuickBooks Online terms, third-party platform terms, or Company policy.

  1. Security

Users must handle credentials, OAuth tokens, API keys, configuration data, exported data, sync files, logs, and migration files as confidential Company information.

Sensitive credentials and configuration data must be stored only in Company-approved secure locations, such as a password manager, secure credential store, or restricted administrative environment.

Users must promptly report suspected unauthorized access, credential exposure, data loss, sync errors, or misuse of the Tool to Company.

  1. Third-Party Services

The Tool may interact with third-party services used by Company, including Intuit QuickBooks Online, Google Workspace, Google Sheets, Google Drive, Microsoft 365, Microsoft Lists, SharePoint, OneDrive, and other Company-approved business systems.

Use of those services remains subject to the applicable terms, policies, permissions, and administrative controls for each service.

  1. Validation of Results

The Tool may be used to synchronize, export, transform, compare, or reference Company data. Users are responsible for reviewing and validating outputs before relying on them for accounting, billing, reporting, operational, legal, or compliance purposes.

Company is responsible for confirming that synchronized or migrated data is accurate, complete, and appropriate for the intended business use.

  1. No Warranty

The Tool is provided for internal Company operational use and is provided “as is” and “as available.”

To the maximum extent permitted by law, Company disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, accuracy, availability, error-free operation, data integrity, and non-infringement.

  1. Limitation of Liability

To the maximum extent permitted by law, Company and its personnel, contractors, administrators, and service providers are not liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from use of the Tool.

Nothing in this Agreement limits liability where such limitation is prohibited by law.

  1. Access Changes and Discontinuation

Company may modify, restrict, suspend, disable, disconnect, or discontinue the Tool at any time.

Company may remove user access at any time when access is no longer required, when a user’s role changes, when work is complete, or when Company determines that access presents a security, operational, legal, or compliance risk.

  1. Compliance

Use of the Tool must comply with applicable laws, Intuit terms, QuickBooks Online terms, Google Workspace terms, Microsoft terms, third-party platform terms, and Company policies.

Users must follow Company-approved procedures for data synchronization, migration, validation, storage, retention, deletion, and access control.

  1. Privacy

Data processed through the Tool is handled according to the QuickBooks Online Internal Sync Tool Privacy Policy.

  1. Governing Law

This Agreement is governed by the laws of the State of California, without regard to conflict-of-law principles.
